Arma Partners is pleased to announce that it is acting as exclusive financial advisor to SoundBite Communications (NASDAQ: SDBT) (“SoundBite”) in its proposed acquisition by Genesys for $5.00 per share, or approximately $100.4 million in total equity value on a fully-diluted basis.

SoundBite is a customer experience management provider with deep expertise in delivering cloud-based mobile marketing, proactive customer care and collections/payments solutions. More than 450 global end-clients, including nearly 50 Fortune 500 companies, leverage SoundBite’s proactive multi-channel communications and preference management platforms to power 2.5 billion personalized customer interactions annually across the full consumer lifecycle.

This transaction further highlights Arma Partners’ deep industry expertise in the customer service software industry and is a further milestone in Arma Partners’ leading global Software-as-a-Service practice.

– As a result, Arma Partners maximised SoundBite’s initial offer while meaningfully improving the legal terms of the transaction, increasing shareholder certainty, and minimising the time to close

– Final offered price per share represented a 67%
premium to the one day prior closing price
