Arma Partners is pleased to announce that it has acted as exclusive financial advisor to Incisive Media, a portfolio company of Alchemy Partners, on the sale of Incisive Insight to Infopro Digital, a portfolio company of TowerBrook Capital Partners.

Incisive Insight is a leading B2B information, research and events business serving the global risk, financial technology and insurance markets. It owns a strong portfolio of internationally recognised brands, including Risk.net (the world’s leading source of in-depth intelligence and analysis on risk management, derivatives and regulation), InsurancePost, WatersTechnology, Central Banking and Chartis. Incisive Insight also runs numerous annual flagship industry events, including the British Insurance Awards.

Infopro Digital is one of the largest B2B information services and events groups in Europe, with 2,400 employees and annual revenue of €300 million. Its offering includes databases and software products, digital information platforms, trade shows, conferences, training seminars and other media services that help customers increase revenue and boost productivity and efficiency. Infopro Digital serves customers in a range of sectors, including construction, public sector, automotive, manufacturing, insurance, finance and retail.

This transaction underscores Arma Partners’ expertise in the B2B information services and events sector and its ability to deliver successful, high value outcomes on cross-border transactions. The Incisive Insight transaction follows the successful sales of Clarion Events to Providence Equity Partners, Zawya to Thomson Reuters and Cadis to IHS Markit.

– Infopro develops products and services including software, databases and digital platforms, and operates trade shows, conferences and training seminars to help its customers drive revenue and boost productivity and efficiency in markets that are crucial to the economy – notably, construction, automotive, manufacturing, public sector, finance and insurance, and retail

– Infopro was acquired by TowerBrook Capital Partners in 2016 from Apax Partners and Altamir

– The acquisition will enable Infopro to accelerate its digital transformation via the large market opportunity presented by Incisive Insight’s data and information brands

– It also represents a very significant step toward the internationalisation of Infopro’s portfolio – a key element of its strategy following its recent acquisition by TowerBrook. Following this transaction, approx. 25% of Infopro’s business will originate outside its home market

– Incisive Insight will benefit from Infopro’s sales and marketing and operational infrastructure, which will support its future growth plans

– Arma was engaged by the Board of Incisive Media to design and execute a strategic review process that would identify the most motivated and credible financial and strategic acquirers for the company

– Arma supported Incisive Insight throughout the exit process, including with detailed financial analysis, strategic positioning and valuation, development of marketing materials and coordination of buyer interactions

– Arma effected a very successful exit for Alchemy Partners and other shareholders within an accelerated timeframe, while minimising disruption to the business and team

– This transaction underscores Arma Partners’ expertise in B2B information services and events and the firm’s ability to deliver successful, high-value outcomes on complex, cross-border transactions
