Arma Partners is pleased to announce that it has acted as exclusive financial advisor to Symphony Technology Group on the contemplated sale (subject to customary approvals) of its portfolio company Maincare Solutions to Montagu Private Equity.

Specialising in electronic patient records and hospital administration software, Maincare Solutions is the leading software and digital solutions provider for the healthcare ecosystem in France. The business was originally spun-off from McKesson in 2014 by Symphony and has developed independently by pursuing long-term organic growth initiatives and focussed acquisitions to support healthcare digitisation within hospitals and beyond. The company has also successfully expanded internationally with its best-in-class eHealth platform.

Together with the recent sale of Allocate Software to Vista Equity Partners and Datix to TA Associates, Arma Partners has now advised on over $1 billion of healthcare technology transactions in Europe this year, firmly establishing our deep expertise and leadership in this exciting sub-segment.

-Maincare Solutions is the leading software and digital solutions provider for the healthcare ecosystem in France, and specialises in electronic patient records and hospital administration software

-The business was originally spun-off from McKesson in 2014 by Symphony and has developed independently by pursuing long-term organic growth initiatives and focussed acquisitions to support healthcare digitisation within hospitals and beyond

-Maincare Solutions achieved revenues of €69 million in fiscal 2017 with a growth rate of approximately 10%

-Montagu Private Equity was founded in 1968 as a division of Midland Bank and spun out of HSBC in March 2003

-Montagu invests primarily in companies based in Europe with a focus on UK, France, Germany, and the Nordic region

-Montagu targets companies with mission critical products and solutions across a wide range of sectors including business services, consumer goods, electronics, healthcare, logistics, retail and technology

-Montagu has assets under management of more than €4bn and invests through its Montagu V fund with a size of €2.75bn

-Under the ownership of Montagu, Maincare Solutions will continue to strengthen its market leading position in France as the government has set specific digitalisation and technology convergence objectives for the healthcare system

-The company also plans to accelerate its growth by expanding internationally and beyond hospitals by leveraging its best-in-class its eHealh platform and Montagu’s experience and expertise in these areas

-Arma helped Symphony manage the inbound interest, while driving competitive tension by running a very tight process involving only the most qualified potential buyers

-Arma’s role involved analysis of the strategic positioning of the business and market dynamics in France, preparation of a detailed financial model and marketing materials, support of the diligence efforts and negotiation of the key transaction terms

-Arma’s tight and robust process helped maximise value within a very short timeframe resulting in a highly successful outcome for Symphony

-This transaction further demonstrates Arma Partners’ deep expertise in healthcare technology in Europe
