Arma Partners advises Hornetsecurity on its sale to Proofpoint

Arma Partners is pleased to announce that it has acted as exclusive financial advisor to Hornetsecurity, a portfolio company of TA Associates, PSG Equity, and Verdane, on its entry into a definitive agreement to be acquired by Proofpoint, a Thoma Bravo portfolio company.

Hornetsecurity is a global leader in AI-driven cloud security solutions for Microsoft 365. Its flagship offering, 365 Total Protection, is one of the most comprehensive security suites for Microsoft 365, enabling managed service providers (MSPs) to deliver a unified, multi-tenant platform that integrates advanced email security, backup, security awareness training, access and permissions control, and domain fraud protection.

Hornetsecurity serves over 125,000 customers in more than 120 countries through a global network of more than 12,000 channel partners and MSPs, and will bring a high-performing business into the Proofpoint portfolio. Hornetsecurity has a strong financial profile with over $160 million in annual recurring revenue, more than 20 percent year-over-year growth, and performance above the Rule of 60.

The transaction is expected to close in the second half of 2025, subject to customary regulatory approvals and closing conditions.

This transaction highlights Arma Partners’ track record of successfully orchestrating landmark transatlantic strategic exits and underscores the firm’s deep expertise and growing momentum in the cybersecurity segment having advised on six transactions over the last twelve months including Namirial, Bridewell, 1E, MetaCompliance and Sahar.
