Arma Partners is pleased to announce that it has acted as exclusive financial advisor to beCogent Limited (“beCogent”) on its sale to Teleperformance SA (“Teleperformance”).

beCogent is an outsourced contact centre solutions business based in Scotland with offices in Airdrie, Erskine, Kilmarnock and Glasgow. beCogent has deep experience and award winning expertise serving clients in numerous industry sectors, with an emphasis on the Financial Services, Retail and Telecommunication/ISP industries. beCogent has 3,000 employees and forecasts revenue of approximately GBP 50 million in 2010.

The combination of beCogent and Teleperformance creates the second largest operator of outsourced contact centres in the UK. Together, the companies will be able to serve all parts of the UK more effectively and deliver the most comprehensive onshore and offshore offering in the market.

– beCogent offers a diverse range of contact centre solutions including fully outsourced partnerships, services to complement and support an in-house operation and short and long-term consulting services

– It has significant experience in numerous industry sectors, with an emphasis on the financial services, retail and telco/ISP industries

– beCogent has c. 3,000 employees at its four call centres in Airdrie, Erskine, Kilmarnock and Glasgow

– Teleperformance is a leading provider of outsourced CRM and contact centre services and in 2009, the group achieved revenues of €1.8bn

– It has been serving companies around the world with customer acquisition, customer care, technical support and debt collection programs

– The group, listed on NYSE Euronext Paris, operates 83,000 workstations with more than 112,000 employees across 276 contact centers in 51 countries

– Through the combination with Teleperformance, beCogent will be able to pursue larger public and private sector mandates in the future, and will have access to Teleperformance’s offshore capabilities

– The transaction allows Teleperformance to expand its footprint in the UK and gain a strong foothold in Scotland

– The combined business will create the second largest operator of call centres in Britain

– Arma had a long-standing relationship with the senior management of beCogent, advising them informally on their strategic alternatives and timing

– The company received an unsolicited offer, which the shareholders believed was credible / serious and a good home for the company

– Arma was engaged to optimise the terms, advise the Board on its alternatives, lead the negotiation and execute the transaction with minimum disruption to the business in a tight timetable
