Arma Partners is pleased to announce that it has acted as exclusive financial advisor to DOCUgroup, a portfolio company of GMT Communication Partners, on its sale to Infopro Digital, a portfolio company of TowerBrook Capital Partners.

DOCUgroup is the leading provider of B2B information to the construction industry in Germany, Switzerland and Austria. It owns numerous market-leading brands, including ibau (the definitive source of accurate, up-to-date data and intelligence on construction projects in Germany) and Heinze (Germany’s pre-eminent provider of construction product information). DOCUgroup also provides multi-channel marketing services for its customers, including content, market research and flagship industry events. DOCUgroup has also invested in the development of its Building Information Modelling data capabilities to address this high-growth market opportunity that is expected to transform the global construction ecosystem.

Infopro Digital is one of the largest B2B information services and events groups in Europe, which will have more than 3,200 employees and annual revenue of approximately €440 million once the acquisition is completed. Its portfolio includes databases and software products, digital information platforms, trade shows, conferences, training seminars and other media services that help customers increase revenue and boost productivity and efficiency. Infopro Digital serves customers in the construction sector through its market-leading brands such as Le Moniteur, Batiproduits and Vecteur Plus.

This transaction underscores Arma Partners’ deep expertise in the B2B data and information services sector and its ability to deliver successful, high value outcomes on cross-border transactions. The DOCUgroup transaction follows Arma Partners’ successful engagement on behalf of Incisive Media to divest its Incisive Insight division to Infopro Digital in March 2017.

– Following this transaction, approx. 40% of Infopro’s business will originate outside its home market

– Arma was engaged by the Board of DOCUgroup to identify, and deliver against, the optimal path to a successful exit for the owners, GMT Communications Partners

– Arma supported DOCUgroup’s management in preparing materials for the exit process, including detailed financial analysis, strategic positioning and valuation, development of marketing materials and coordinating interactions with potential counterparties

– Arma executed against a tight timetable with Infopro, who emerged quickly as the best-placed suitor to acquire
