Arma Partners is pleased to announce that it has acted as exclusive financial advisor to Zinc Ahead, a portfolio company of Accel-KKR and a leading provider of marketing compliance and approval software-as-a-service solutions to the life sciences industry, on its sale to Veeva Systems Inc. (NYSE:VEEV), a Pleasanton, California headquartered provider of cloud-based software to the global life sciences industry, for a cash consideration of $130 million.

Zinc Ahead provides marketing compliance and rich media management SaaS solutions for the life sciences industry. Over two million digital assets have been approved through the Zinc cloud, transforming the digital media development and compliance community in over 120 life sciences companies, including all of the top 20 and 40 of the top 50 global pharmaceutical companies, across 170 countries. More than 50,000 marketing, medical and legal professionals currently use Zinc’s products. Zinc Ahead is headquartered in Oxford, UK, and has approximately 180 employees.

This transaction further underscores Arma Partners’ continued strength in vertical market software and SaaS, and our deep expertise in delivering successful transatlantic deals with North American strategic acquirers.

– Veeva Systems Inc. is a leader in cloud-based software for the global life sciences industry

– Veeva has more than 300 customers, ranging from the world’s largest pharmaceutical companies to emerging biotechs

– Veeva is headquartered in Pleasanton, California, with offices in Europe, Asia, and Latin America

– Veeva reported revenues of $313 million and EBITDA of $73 million for the financial year ending January 2015

– Zinc Ahead’s acquisition will provide Veeva Systems to create a best-in-class solution that supports every step in the digital content lifecycle – from creation to expiration – developed and supported by top software and life sciences talent

– The joint company will address the growing need for end-to-end compliance management that reduces regulatory risk and boosts operational efficiency as companies face increasing volumes of content, a proliferation of digital channels, and increased regulatory scrutiny

– The result will be the most complete software and services solution for digital content creation, review, and multichannel approval and withdrawal on the market—backed by a company-wide commitment to customer success

– Zinc had received an inbound expression of interest that triggered the process, and Arma was engaged to assist

– Arma contacted the most qualified strategic buyers, the majority of whom were in the US, to determine interest in the business

– In parallel, Arma worked extensively with management to articulate the company’s equity story, with a tailored positioning message for each buyer

– Veeva Systems emerged as the most attractive bidder and Arma consequently worked towards a very tight and compact timeline to complete the deal

– This transaction demonstrates Arma’s continued strength in vertical market software and SaaS, and our deep expertise in delivering successful transatlantic deals with North American strategic acquirers
